By accessing or using our platform, you agree to be bound by these Terms and any additional agreements referenced herein. • Analytics and reporting capabilities

Important: All data accessed through our platform remains the property of its original sources. Elite Compassing acts solely as an intermediary for data redistribution and does not claim ownership of any redistributed content.

3. Strict Data Distribution and Sharing Restrictions

CRITICAL RESTRICTIONS: The following restrictions are fundamental to your use of our platform and will be strictly enforced:

3.1 Lead Data Protection

• Lead data may ONLY be accessed by authorized, paying clients
• Sharing lead data with non-paying third parties is strictly prohibited
• Reselling or redistributing lead data outside your organization is forbidden
• Lead data must be used solely for legitimate business purposes
• Any unauthorized distribution will result in immediate account termination

3.2 Map Data and Geospatial Information

• Map data and geospatial information are proprietary to Elite Compassing
• Sharing map data, coordinates, or geographic information with non-clients is prohibited
• Extracting or scraping map data for redistribution is strictly forbidden
• Map data may only be used for internal business operations

3.3 Product Credentials and Access

• Platform credentials are non-transferable and non-shareable
• Sharing login credentials with unauthorized users is prohibited
• API keys and access tokens must remain confidential
• Any credential sharing will result in immediate suspension

3.4 Client-Only Distribution

• All platform data is restricted to paying clients only
• No data may be shared with prospects, partners, or third parties
• Client status must be verified before any data access
• Violations will result in legal action and account termination

4. Mandatory Contract and Onboarding Agreement

CONTRACT REQUIREMENT: All clients must sign a comprehensive onboarding contract that includes:

• Explicit agreement to all data distribution restrictions
• Confidentiality and non-disclosure obligations
• Penalty clauses for violations of data sharing policies
• Liability waivers and indemnification requirements
• Termination conditions for policy violations
• Legal jurisdiction and dispute resolution procedures

Enforcement: The onboarding contract will be legally binding and enforceable. Violations of contract terms will result in immediate legal action, including but not limited to injunctions, damages, and criminal prosecution where applicable.

5. Monitoring and Compliance

Elite Compassing reserves the right to monitor platform usage and data access patterns:

• Automated monitoring of data access and distribution patterns
• Regular audits of client data usage and sharing activities
• Investigation of suspicious data access or distribution
• Cooperation with law enforcement for violations
• Immediate suspension for suspected policy violations

Compliance Verification: Clients may be required to provide evidence of compliance with data distribution restrictions upon request.

6. Penalties and Enforcement

VIOLATION CONSEQUENCES: Any violation of these Terms will result in:

• Immediate account suspension and termination
• Legal action for damages and injunctive relief
• Reporting to relevant authorities for criminal violations
• Permanent blacklisting from future platform access
• Public disclosure of violations where legally permitted
• Financial penalties as specified in the onboarding contract

No Exceptions: These penalties will be strictly enforced without exception. Ignorance of these terms does not constitute a defense.

7. Data Security and Access Controls

Elite Compassing implements strict security measures to prevent unauthorized data distribution:

• Multi-factor authentication for all platform access
• IP-based access restrictions and monitoring
• Session management and automatic logout features
• Data encryption for all stored and transmitted information
• Regular security audits and penetration testing

Client Responsibility: Clients must maintain the security of their access credentials and report any suspected unauthorized access immediately.

8. Limitation of Liability and Indemnification

LIABILITY DISCLAIMER: Elite Compassing disclaims all liability for:

• Unauthorized data distribution by clients
• Violations of data sharing restrictions
• Legal consequences of client policy violations
• Damages resulting from data misuse
• Third-party claims arising from client actions

Indemnification: Clients agree to indemnify and hold harmless Elite Compassing from any claims, damages, or expenses arising from their use of the platform or violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Elite Compassing operates. Any disputes arising from data distribution violations or contract enforcement shall be resolved through binding arbitration. Clients waive any right to participate in class action lawsuits related to these Terms.

10. Updates and Modifications

Elite Compassing reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the platform constitutes acceptance of updated terms. Clients will be notified of significant changes via email.
